NOTICE TO MEMBERS – MEMORANDUM OF UNDERSTANDING (MOU)

What this means for members

Parramatta Leagues Club (PLC) has entered into a Memorandum of Understanding (MOU) with The Pitt Town & District Sports Club (PTS).

This agreement outlines the intention of both clubs to explore a possible amalgamation — a process that, if approved, would see the two clubs come together under the Parramatta Leagues Club Group.

At this stage, no final decision has been made. The MOU simply enables both clubs to work through the necessary due diligence, member consultation, and regulatory requirements before any formal amalgamation can take place.

Members will be kept informed at every stage and will have opportunities to ask questions, provide feedback, and vote should the proposal proceed to a formal stage.

Between:
Parramatta Leagues’ Club Ltd (ABN 52 000 218 655) of 1 Eels Place, Parramatta NSW 2150 (“PLC”)
and
The Pitt Town & District Sports Club Ltd (ABN 36 002 503 540) of 139 Old Pitt Town Road, Pitt Town NSW 2756 (“PTS”)

This Memorandum of Understanding (MOU) sets out the terms under which PLC and PTS propose to amalgamate in accordance with the Registered Clubs Act, Registered Clubs Regulation, Liquor Act, and Corporations Act.

Background

• Both PLC and PTS are registered clubs under the Registered Clubs Act.
• On 25 July 2023, PLC called for Expressions of Interest (EOI) for amalgamation from other registered clubs within a 50-kilometre radius and maintains an open EOI with ClubsNSW.
• PTS submitted an EOI on 12 March 2025, expressing interest in amalgamating with PLC.
• Following review and negotiation, PLC accepted PTS’s expression of interest.
• Both clubs have now agreed to proceed under the terms of this MOU, subject to the necessary approvals.

Next Steps

This MOU marks the beginning of a formal process toward a potential amalgamation. Further updates will be provided to members as the process continues, including:

• Progress on regulatory and member approval stages; and
• Details on how members can participate in upcoming information sessions and feedback opportunities.
