NOTICE TO MEMBERS OF PROPOSED AMALGAMATION
Members of Parramatta Leagues’ Club Ltd ABN 52 000 218 655 (PLC) are hereby notified that:
1.PLC and The Pitt Town & District Sports Club Ltd ABN 36 002 503 540 (PTS) propose to amalgamate.
2.PLC called for expressions of interest in amalgamation on 25 July 2023.
3.The Board of PTS submitted to PLC an expression of interest in amalgamation. Following further negotiations between them, the Clubs now propose to progress this amalgamation.
4.Details of the proposed amalgamation between PLC and PTS will be contained in a Memorandum of Understanding (MOU) which both Clubs propose signing. In accordance with the requirements of the Registered Clubs Act 1976 (NSW) and Registered Clubs Regulation 2025 (NSW), a copy of the MOU will be made available to members for inspection on the noticeboard and website of PLC following execution and prior to the required Extraordinary General Meeting of members to consider the proposed amalgamation.
5.PLC will be the continuing club and PTS will be the dissolving club in the proposed amalgamation.
6.The proposed amalgamation will only proceed if it is approved at separate Extraordinary General Meetings of the members of each club who are eligible to vote at the respective meeting and if the amalgamation is approved by the Independent Liquor and Gaming Authority.
7.In due course, PLC will give members notice of an Extraordinary General Meeting in accordance with the requirements of its Constitution, to consider the proposed amalgamation.
8.In the previous 12 months, apart from PTS, PLC also received an expression of interest in an amalgamation from City Tattersalls Club ABN 44 004 054 353 (CTC). However, following its due diligence inquiries, PLC is not proceeding with this CTC amalgamation proposal.
9.This Notice is given in accordance with section 17AE of the Registered Clubs Act 1976 (NSW) and clause 7 of the Registered Clubs Regulation 2025 (NSW), and is displayed on the noticeboard and website of PLC.
